This End User License Agreement (“Agreement” or “EULA”) is a legally binding contract between you (“you”, “your”, “User”, or “Licensee”) and Bhagyaratna Astrotech LLP (“Licensor”, “we”, “us”, or “our”), governing your access to and use of the CosmoKey software and related materials.
CosmoKey is an intellectual product of Bhagyaratna Astrotech LLP.

BY DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR USING THE SOFTWARE, YOU CONFIRM THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE, DO NOT INSTALL, ACCESS, OR USE THE SOFTWARE.
1. Definitions
For the purposes of this Agreement:
1.1 “CosmoKey” or “Software” means the CosmoKey desktop software application, including all modules, features, user interface elements, executable files, installers, updates, upgrades, patches, and any accompanying documentation, whether delivered electronically or otherwise.
1.2 “Documentation” means all manuals, guides, help content, onboarding materials, training content, or written/visual materials supplied or made available by the Licensor.
1.3 “Licensed Content” means all proprietary interpretive content, including but not limited to structured phrase pools, interpretation databases, JSON data pools, mappings, weighting logic, scoring logic, taxonomies, rulesets, and any data structures embedded in, bundled with, or accessed by the Software.
1.4 “License Key” means the unique key, token, credential, or activation code issued by the Licensor or its licensing vendor that enables activation and/or validation of the Software.
1.5 “Device” means a physical computer on which the Software is installed or used.
1.6 “Machine Fingerprint” means a device identifier or hardware/software-derived signature generated to enable license enforcement.
1.7 “Third-Party Services” means services operated by third parties used for licensing, payment processing, cloud hosting, analytics, or validation, including but not limited to licensing vendors and infrastructure providers.
2. Grant of License
2.1 Subject to your compliance with this Agreement and payment (where applicable), the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your personal or professional use, in accordance with the license type issued to you.
2.2 This Agreement is a license agreement and not a sale. You acquire no ownership interest in the Software, Licensed Content, or Documentation.
2.3 All rights not expressly granted are reserved by the Licensor.
3. License Type, Activation, and Validation
3.1 The Software may require activation using a License Key and may periodically validate your license status online.
3.2 The Licensor may use Machine Fingerprints, device identifiers, and related metadata to enforce license terms, prevent piracy, and protect intellectual property.
3.3 You agree not to share, publish, sell, sublicense, distribute, or disclose your License Key or activation credentials to any other person or entity.
3.4 If you change hardware, reinstall your operating system, replace your Device, or otherwise materially change your system, you may be required to re-validate or re-activate the Software.
3.5 The Licensor reserves the right to suspend, restrict, or revoke access to the Software if it reasonably determines that a License Key has been misused, shared, compromised, used on unauthorized Devices, or used in violation of this Agreement.
4. Updates, Changes, and Availability
4.1 The Licensor may provide updates, patches, enhancements, or improvements at its sole discretion. Some updates may be required to continue using certain features, maintain security, or remain compatible with licensing systems.
4.2 The Licensor may modify, discontinue, or limit features or modules, including Third-Party Services integrations, provided that such changes are not prohibited by applicable law.
4.3 The Licensor does not guarantee uninterrupted availability of any cloud-dependent features, validation endpoints, or Third-Party Services.
5. Intellectual Property; Protection of Licensed Content
5.1 The Software, Licensed Content, Documentation, and all related intellectual property rights (including copyright, trade secrets, know-how, algorithms, structures, databases, compilations, and design elements) are owned exclusively by Bhagyaratna Astrotech LLP and/or its licensors.
5.2 The Licensed Content includes proprietary interpretive databases and structured content that represent substantial investment and constitute protected intellectual property and trade secrets.
5.3 You shall not, and shall not permit any third party to, access or use the Software or Licensed Content in any manner that is intended to copy, extract, reproduce, rebuild, or replicate CosmoKey’s proprietary interpretation datasets, rules, or outputs at scale.
6. Restrictions and Prohibited Conduct
6.1 Except to the extent expressly permitted by applicable law, you shall not, directly or indirectly:
(a) reverse engineer, decompile, disassemble, decode, decrypt, or otherwise attempt to derive source code, underlying ideas, algorithms, structures, or methods from the Software or any Licensed Content;
(b) bypass, disable, circumvent, or interfere with license checks, anti-tamper mechanisms, security controls, or access controls;
(c) copy, reproduce, distribute, sell, sublicense, rent, lease, lend, publish, transmit, or make available the Software, Licensed Content, or Documentation to any third party;
(d) create derivative works based on the Software, Licensed Content, or Documentation;
(e) scrape, harvest, bulk-query, or systematically extract outputs from the Software or related APIs to build a competing dataset, model, or interpretation engine;
(f) use the Software to develop or enhance any product or service that competes with CosmoKey;
(g) remove, alter, or obscure proprietary notices, license terms, watermarks, attribution, or branding;
(h) use the Software in violation of any applicable law, regulation, or third-party rights.
6.2 You acknowledge that the restrictions in this Section are essential to protect CosmoKey’s intellectual property and business.
6.3 Prohibition on Dataset Extraction and Automated Collection
The CosmoKey software contains proprietary interpretive datasets, structured phrase libraries, analytical mappings, and algorithmically generated interpretive content (collectively referred to as “Licensed Content”). The Licensed Content represents substantial intellectual effort, investment, and proprietary research of Bhagyaratna Astrotech LLP and constitutes protected intellectual property and trade secrets.
Accordingly, users are strictly prohibited from using the CosmoKey software, directly or indirectly, for the purpose of extracting, harvesting, collecting, reproducing, or reconstructing the Licensed Content or any portion thereof. Without limitation, users may not:
Use automated scripts, bots, crawlers, scraping tools, or similar technologies to collect or extract outputs generated by the software.
Systematically generate large volumes of outputs for the purpose of compiling datasets, phrase libraries, or interpretation databases.
Use CosmoKey outputs to train, fine-tune, or develop machine learning models, artificial intelligence systems, or automated interpretation engines.
Attempt to reconstruct the proprietary datasets, scoring systems, or interpretive logic embedded within the CosmoKey software.
Use the software in any manner intended to build a competing software product, dataset, or analytical system.
Any attempt to engage in such activities constitutes a material breach of this Agreement and may result in immediate termination of the software license and legal action for damages and injunctive relief.
7. Permitted Use; Professional Judgment
7.1 The Software is intended to assist with astrological interpretation and research. Outputs generated by the Software are informational in nature.
7.2 You are solely responsible for how you interpret and apply the Software’s outputs. The Licensor does not guarantee outcomes, results, or suitability for any particular purpose.
7.3 You agree not to present CosmoKey outputs as medical, legal, financial, or psychological advice, and you agree to apply professional judgment and ethical practice.
8. Third-Party Services and Dependencies
8.1 The Software may rely on Third-Party Services for licensing, activation, validation, payment processing, hosting, or related functions.
8.2 Third-Party Services may be governed by their own terms and policies. The Licensor is not responsible for third-party outages, changes, discontinuations, or acts/omissions of third parties beyond the Licensor’s reasonable control.
8.3 Where Third-Party Services are necessary for licensing or validation, you acknowledge that the Software’s continued operation may depend on the availability of such services.
9. Privacy and Data Processing
9.1 The Licensor’s processing of personal information is described in the CosmoKey Privacy Policy, which is incorporated by reference into this Agreement.
9.2 You acknowledge that the Software may process licensing and technical data (including Machine Fingerprints and validation metadata) to enforce the license and protect intellectual property.
10. Term, Termination, and Effect
10.1 This Agreement is effective from the moment you download, install, access, or use the Software and continues until terminated.
10.2 The Licensor may terminate or suspend this Agreement and your access to the Software immediately if you breach any provision of this Agreement or if the Licensor reasonably believes that your use is fraudulent, abusive, or infringes the Licensor’s rights.
10.3 Upon termination, you must immediately cease using the Software and destroy all copies in your possession or control, except to the extent prohibited by applicable law.
10.4 Sections relating to intellectual property, restrictions, confidentiality/trade secrets, limitation of liability, disclaimers, and governing law shall survive termination.
11. Warranty Disclaimer
11.1 The Software, Licensed Content, and Documentation are provided on an “AS IS” and “AS AVAILABLE” basis.
11.2 To the fullest extent permitted by law, the Licensor disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.
11.3 The Licensor does not warrant that the Software will be error-free, secure, or operate without interruption.
12. Limitation of Liability
12.1 To the fullest extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, reputational harm, or procurement of substitute services, arising out of or relating to the Software or this Agreement, even if advised of the possibility of such damages.
12.2 To the fullest extent permitted by applicable law, the Licensor’s total aggregate liability arising out of or relating to this Agreement or the Software shall not exceed the amount actually paid by you for the Software license in the twelve (12) months preceding the event giving rise to the claim (or, if no amount was paid, INR 1,000).
12.3 You acknowledge that this limitation of liability is a fundamental basis of the bargain between you and the Licensor.
13. Indemnity
13.1 You agree to indemnify, defend, and hold harmless the Licensor, its partners, officers, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use or misuse of the Software; (b) your breach of this Agreement; (c) your violation of applicable law; or (d) your infringement of any third-party rights.
14. Export, Sanctions, and Compliance
14.1 You represent that you are not prohibited from using the Software under applicable export control laws, sanctions, or other legal restrictions.
14.2 You agree to comply with all applicable laws relating to the use of the Software.
15. Injunctive Relief
15.1 You acknowledge that unauthorized use, copying, extraction, reverse engineering, piracy, or circumvention of licensing mechanisms may cause irreparable harm to the Licensor for which monetary damages may be inadequate.
15.2 Accordingly, the Licensor shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available at law, without the necessity of posting bond, to prevent or restrain any breach of this Agreement.
16. Governing Law and Jurisdiction
16.1 This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
16.2 Any dispute arising out of or relating to this Agreement or the Software shall be subject to the exclusive jurisdiction of the competent courts located in Kolkata, India.
17. Changes to this Agreement
17.1 The Licensor reserves the right to modify this Agreement from time to time. The updated version will be published on the CosmoKey website with an updated “Last Updated” date.
17.2 Continued use of the Software after such changes constitutes acceptance of the updated Agreement.
18. Entire Agreement; Severability; No Waiver
18.1 This Agreement, together with the Privacy Policy and any licensing terms communicated at purchase or activation, constitutes the entire agreement between you and the Licensor concerning the Software and supersedes prior agreements or understandings.
18.2 If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18.3 Failure by the Licensor to enforce any provision shall not constitute a waiver of future enforcement.

“This End User License Agreement governs the use of the CosmoKey software. For website usage terms, please refer to the Terms of Use page.” This End User License Agreement governs the use of CosmoKey software developed by Bhagyaratna Astrotech LLP.
